# Terms of Service

These Terms of Service (the “Terms”) govern your use of the **Theme Companion** Shopify app and related services (the “Service”), operated by **Staylime Inc.**, 2093 Philadelphia Pike #7659, Claymont, DE 19703, United States (“Staylime”, “we”, “us”). By installing or using the Service, you agree to these Terms on behalf of yourself and the store you represent. If you do not agree, do not use the Service.

### 1. The Service

Theme Companion helps you update Shopify themes while carrying over your customizations, manage and apply fonts, and add sections to your themes. We also offer an optional paid expert update service (“Expert Service”), described in Section 5.

**Theme Companion is a self-service tool, not an update service.** The app prepares the merge, carries over what it can automatically, and shows you what needs your decision — completing an update, including resolving conflicts, is done by you (or a developer working for you). If you'd rather not do that work yourself, the Expert Service exists for exactly that.

The Service works within your Shopify store. Your use of Shopify itself is governed by Shopify's own terms, not by these Terms. Our [Privacy Policy](/docs/theme-companion/legal/privacy-policy.md) explains how we handle data in connection with the Service.

### 2. Your responsibilities

**You confirm and publish the result.** The app prepares an updated theme as a draft in your theme library and never publishes anything for you. You are solely responsible for reviewing and testing the result and for determining whether it is suitable for publication. Publishing or otherwise using an updated theme is your decision and at your own risk; Staylime is not responsible for changes to your live storefront resulting from a theme that you choose to publish.

**Your backups.** Before using the Service to modify or update a theme, you are responsible for keeping a backup or recoverable copy of your theme and of any custom code or assets that are important to your store.

**Your licenses.** You are responsible for holding valid licenses for the themes you update and for any fonts you upload. By uploading a custom font, you confirm you have the rights to use it on the web, and you are solely responsible for any claims arising from its use.

**Your store.** You are responsible for your store, its content, and its compliance with applicable law and Shopify's terms. You are also responsible for any use of the Service by your staff, agents, or contractors as if it were your own.

### 3. Theme updates — risk and your acknowledgments

Merging a customized theme with a new theme version depends on how far your customizations and the vendor's changes have diverged. You acknowledge that:

* an automated merge cannot guarantee that every customization is preserved — customizations may be modified, omitted, or made incompatible, or may require manual re-application, especially when the new version restructures the theme;
* the app detects conflicts according to its detection logic; it may not identify every difference or incompatibility;
* completing the app's update workflow does not mean the resulting theme is error-free or ready for production;
* resolving conflicts and editing theme code may require technical knowledge (such as Liquid, HTML, CSS, or JavaScript);
* before publishing, you should test the updated theme on your storefront — including navigation, key pages, apps and integrations, and layouts on different devices;
* theme versions, their contents, and their availability are controlled by theme vendors and Shopify, not by us.

Support for the Service covers the operation of the app itself. Resolving your conflicts, editing your theme's code, or completing updates on your behalf is not included in the Service — that work is available as the Expert Service (Section 5).

### 4. Fonts, sections, and intellectual property

The Service, including its software, sections, and design, is and remains the property of Staylime or its licensors.

For sections and other materials provided by the Service, we grant you a non-exclusive, non-transferable license to use them within the themes of the Shopify store where the app is installed. Sections already added to your themes may remain in them and continue to be used in that store after you uninstall the app; adding new sections requires the app.

You (or a developer working for you) may modify sections for use in your own store. Modified sections are used at your own risk and are not covered by support. In all cases, the sections' code and design remain Staylime's intellectual property: you may not resell or redistribute sections, offer them as your own work or as part of another product, or use them outside your own store.

Fonts you upload remain yours (or your licensor's). Google Fonts are provided under their own licenses.

### 5. Expert Service

* A quote is free and does not commit you to anything. A quote becomes binding when you accept it and pay.
* Work starts after 100% prepayment. **Payment for the Expert Service is final and non-refundable.**
* Delivery estimates are estimates; the confirmed timeline is provided with your quote.
* The result is delivered as a draft theme in your theme library. You review and publish it yourself; Section 2 applies.
* If an accepted quote contains terms specific to your engagement, those terms control over these Terms for that engagement in case of a conflict.
* Invoicing and payment processing are handled through Intuit QuickBooks and its supported payment methods.

### 6. Fees and taxes

The app's current features are provided free of charge unless a price is shown. Prices for paid features and the Expert Service are presented before you commit. We may introduce, change, or discontinue features and prices; changes do not affect payments already made. You are responsible for any taxes or duties related to your use of the Service.

### 7. Acceptable use

You agree not to:

* reverse engineer the Service or circumvent its security or technical limitations;
* interfere with the operation of the Service or overload it, including through automation;
* upload malicious code or files, or attempt unauthorized access;
* use the Service with themes, fonts, or content you have no right to use;
* resell the Service or use it to provide a competing product;
* abuse support (Section 3 and our [Support Policy](/docs/theme-companion/legal/support-policy.md) apply).

We may suspend or terminate access to the Service for violations of this section.

### 8. Third-party services and force majeure

The Service depends on services outside our control — including Shopify and its APIs, theme vendors, hosting and network providers. We are not responsible for failures, changes, limitations, or outages of such services, for changes theme vendors make to their themes, or for the behavior of third-party apps and code in your store — nor for delays or failures caused by events beyond our reasonable control.

### 9. Disclaimer of warranties

The Service is provided **“as is” and “as available”**, without warranties of any kind, express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, error-free, or secure, that results will be accurate or reliable or meet your expectations, or that errors will be corrected.

### 10. Limitation of liability

To the maximum extent permitted by law, Staylime is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill — including loss of sales, loss of business, business interruption, loss of traffic, rankings, or conversion, loss or corruption of theme files or customizations, incompatibility with third-party apps, and the costs of restoring or recreating customizations — arising from or related to the Service, including the results of theme updates, published themes, or the Expert Service, even if advised of the possibility.

To the maximum extent permitted by law, our total liability for all claims related to the Service is limited to the amounts you paid us for the Service in the 12 months preceding the claim, or USD 100 if you have paid nothing.

These limitations apply regardless of the theory of liability — contract, tort (including negligence), strict liability, or otherwise. Some jurisdictions do not allow certain exclusions or limitations; in those cases, these provisions apply only to the maximum extent permitted by applicable law.

### 11. Indemnification

You agree to indemnify and hold harmless Staylime and its officers, directors, employees, agents, and suppliers from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of (a) your breach of these Terms; (b) your violation of any law or the rights of a third party, including theme and font licenses; or (c) claims by your customers or visitors relating to your store, its content, or themes you have published.

### 12. Termination

You can stop using the Service at any time by uninstalling the app. We may suspend or terminate access to the Service for breach of these Terms or violations of Section 7. Sections 2–4 and 9–11 survive termination.

### 13. Changes to the Service and these Terms

We may update the Service and these Terms at any time. The current version of the Terms is always available on this page with its date; material changes take effect when posted. Continued use of the Service after changes means you accept them; if you do not agree to the updated Terms, stop using the Service and uninstall the app.

### 14. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in California, and you consent to their jurisdiction. Nothing in these Terms limits any mandatory rights you may have under the laws of your place of residence.
